Content Agreement

1. AGREEMENT

   This agreement is between the Artist (You) and Sagacity Alternative Lifestyle Society (Sagacity) concerning an image or writing (the Content) submitted by you to Sagacity for Sagacity’s use. You agree to be bound by the terms of this agreement.

   You represent and warrant that the Content is wholly original and does not incorporate or include anything that is owned by any third party and does not violate any copyright, trademark, publicity right, or any other right of any third party. You represent and warrant that (a) you own and/or control one hundred (100%) percent of all right, title and interest in and to the Content and all elements contained therein; (b) the Content does not and shall not infringe on any copyright or any other third party right nor violate any applicable law or regulation; (c) you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the Content, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity.

   You represent and warrant that any individuals recognizable in photographs have agreed to have their image displayed. Sagacity may require you to produce proof in writing that these individuals have agreed to this.

   You hereby hold Sagacity harmless from and against any third party claim arising from use of the Content. You hereby represent and warrant that you are at least 18 years of age and that you have read this release and are fully familiar with its contents.

2. LICENSE

   This License Agreement governs Sagacity’s use of the Content provided by you. You grant a non-exclusive and non-transferable license for the use of the Content only as provided below. All other rights to the Content, CD-ROM and accompanying materials (if applicable), including without limitation, copyright and all other rights, are retained by you.

   Grant of Rights. Subject to the terms of this Agreement:

   a) Sagacity has the non-exclusive, non-transferable, non-sub-licensable right to reproduce the Content an unlimited number of times in any and all media for the following purposes (the Permitted Uses): advertising and promotional materials; broadcast and theatrical exhibitions; print publications and physical products; electronic publications including website design; and any other uses approved in writing by you.

   b) Sagacity has the right to have the Content reproduced by subcontractors of Sagacity, provided that Sagacity ensures that such subcontractors agree to abide by the provisions of this Agreement.

   c) Sagacity may alter, edit, crop, manipulate and create derivative works of the Content.

   d) Sagacity's rights to the Content are worldwide and perpetual.

3. RESTRICTIONS

   a) Sagacity may not sublicense, sell, assign, convey or transfer this Agreement or any of its rights under this Agreement but Sagacity may sell or license derivative works incorporating the Content.

   b) Sagacity will retain the copyright symbol, the Artist’s name, the Content's identification number and any other information as may be invisibly embedded in the electronic file containing the original Image.

   c) Sagacity will include the following credit as Alternate text on images on the Sagacity web site: "Content created by [Artist's name]" and will credit written text to the author.

   d) No ownership or copyright in the Content shall pass to Sagacity by the issuance of the license contained in this Agreement. You grant Sagacity no right or license, express or implied, to the Content except as expressly stated in this Agreement,
